Barr and Berry Reply on Delaware and ESG

Thank you to Lawrence Cunningham and Joseph Petito (Letters, Nov. 29) for responding to our article “Delaware is Trying Hard to Drive Away Corporations,” Cross Country, Nov. 25). We agree with Mr. Cunningham when he says Delaware’s corporate law remains shareholder-centric, the “gold standard.” Our concern is with how the evident interest of Delaware’s leading lights in environmental, social and governance (ESG) principles is likely to affect that gold standard. What’s playing out is a classic motte-and-bailey tactic. Activists and boardroom advisers alike can use Delaware’s Caremark doctrine to push companies into ESG-inspired policies on diversity and sustainability under elastic conceptions of “risk management.” But if you question the compatibility of this regime with politically neutr...

Sen. Dan Sullivan on How to Deter a Chinese Invasion of Taiwan

For the past three months I’ve been pressing my colleagues to significantly strengthen the weapons systems provided to Taiwan so it can prevail in a conflict in the Taiwan Strait (“How Joe Biden Can Deter China,” Review & Outlook, Nov. 18).The national security supplemental request that the White House sent to Congress in October fails to do this. Out of $106 billion, there is a mere $5.4 billion to deal with the aggressive Chinese Communist Party, which is undertaking the largest peacetime military buildup in history with a clear goal of conquering Taiwan.Copyright ©2023 Dow Jones & Company, Inc. Democrats Expanded Definition of Insurrection

William A. Galston added “Donald Trump’s Insurrection Act Gambit” (Politics & Ideas, Nov. 15) to a long list of measures that the press warns will gut U.S. democracy in a second Trump presidency. The threat of Insurrection Act abuse would be much lower if the definition of “insurrection” had not been dumbed-down by Democrats following Jan. 6, 2021. The “insurrectionists” killed no one, were ejected in a matter of hours and received unprecedented prison terms and penalties. Democrats opened a Pandora’s box of insurrection fearmongering.Copyright ©2023 Dow Jones & Company, Inc. All Rights Reserved. 87990cbe856818d5eddac44c7b1cdeb8

The Threat of a Post-Hamas Palestinian State

Secretary of State Antony Blinken’s list of “Nos” and “Musts” for postwar Gaza and Israel ranges from impractical to much worse (“The Day After Israeli Victory,” Review & Outlook, Nov. 13).Especially misguided is his push for the creation of a Palestinian state. The Palestinians were already given a territory, the Gaza Strip, on which they could have built a state. Instead they turned it into a cesspit of terrorism, murder and oppression. The corrupt Palestinian Authority also sponsors terrorism and anti-Semitism. Based on this track record, the Palestinians do not deserve a state of their own.Copyright ©2023 Dow Jones & Company, Inc. Hamas Doesn’t Find War With Israel Intolerable

Nov. 19, 2023 10:36 am ETRegarding “Obama, Hamas and ‘Complicity’” by Elliot Kaufman (op-ed, Nov. 7): When I heard Barack Obama state that the “occupation” was “intolerable,” it seemed to me that if conditions were truly intolerable, rather than mounting a complex and beastly assault, wouldn’t it have been a lot easier for Hamas to pick up the phone, call the Knesset and say, “This is intolerable. It’s time to sit down and talk peace”? But the fact is, what Hamas terrorists find intolerable is the idea of living in peaceful coexistence with Israel. They are clearly willing to put up with everything else.Copyright ©2023 Dow Jones & Company, Inc. All Rights Reserved. 87990cbe856818d5eddac44c7b1cdeb8

Veterans Can Find the Corporate World Tough

Nov. 19, 2023 10:37 am ETIn “On the Clock: Your New Co-Worker Is a Total Drill Sergeant” (Personal Journal, Nov. 9), Callum Borchers lists many of the reasons veterans are in great demand in the civilian workforce. I spent 26 years in the Navy and led several large companies in civilian life. I did my best to hire veterans whenever possible. I wish I could report that my experience was always positive, but without substantial retraining it’s often difficult for veterans to adapt to their new employment environment.Veterans often suffer from an inappropriate degree of hubris, which makes them think they know more about the corporate world than they really do.Copyright ©2023 Dow Jones & Company, Inc. The Evidence on School Choice Is Still Mixed

Nov. 19, 2023 10:38 am ETRoland Fryer’s diagnosis of the inadequacy of half-baked school-choice programs is spot on (“America Needs Real School Choice,” op-ed. Nov. 14). States that wish to provide educational freedom to their schoolchildren should follow the example of Arizona, which last year became the first state in the union to expand education savings accounts to every student. But even Arizona now spends roughly $7,000 a year for each student that enrolls in an ESA, compared with over $14,000 a year for each public-school student, according to the Goldwater Institute. Politicians who profess to value equality of opportunity would do well to consider allowing each child to pursue an education according to his unique needs.Copyright ©2023 Dow Jones & Company, Inc. Corporations Shouldn’t Fund Political Causes

In your editorial defending Citizens United (“Josh Hawley’s Unoriginal Constitution,” Nov. 7), which allows unlimited election spending by corporations and labor unions, you cite Justice Antonin Scalia’s principle that “the individual person’s right to speak includes the right to speak in association with other individual persons.” That principle, you argue, “is as true for a corporation as for a political party.”That is a false equivalence. When individuals join a political party, they seek to promote its positions in association with the party’s other members. Joint political activity is the party’s essential purpose. By contrast, when individuals buy Apple or ExxonMobil stock, they seek a return on their investment; they are not seeking to advance political positions “in association wi...

Anti-Semitism at Yale Requires Moral Clarity

Nov. 12, 2023 10:50 am ETRegarding Sahar Tartak and Netanel Crispe’s op-ed “Jewish Students Meet Hostility at Yale” (Nov. 8): Last week I published an open letter that has already been signed by more than 100 university presidents from a range of institutions offering moral clarity in calling out Hamas as a terrorist organization and distinguishing it from the Palestinian people who suffer under its cruel rule in Gaza.I believe three steps are crucial for any comprehensive plan to combat campus hate. First, university leaders must speak with moral clarity to help their pro-Palestinian students disentangle themselves from the evil of Hamas and foster more productive conversations on their campuses.Copyright ©2023 Dow Jones & Company, Inc.
